<strong>Soulani O\u00dc<\/strong> (the \u201cSeller\u201d, \u201cSoulani\u201d, \u201cwe\u201d, \u201cus\u201d).<\/p><p>By placing an order through the Online Store, the customer (the \u201cCustomer\u201d or \u201cyou\u201d) confirms that they have read and accepted these Terms &amp; Conditions.<\/p><p>Nothing in these Terms &amp; Conditions limits any mandatory rights granted to consumers under applicable Estonian or European Union consumer protection law.<\/p><p>\u00a0<\/p><ol><li><strong> Seller Information<\/strong><\/li><\/ol><p>\u00a0<\/p><p><strong>Soulani start=\"2\"><li><strong> Products and Prices<\/strong><\/li><\/ol><p>\u00a0<\/p><p>Information about each product, including its main characteristics, materials, available sizes and colours, is provided on the relevant product page.<\/p><p>All prices displayed in the Online Store are in euros (\u20ac) and include applicable VAT unless otherwise stated.<\/p><p>Shipping costs are not included in the product price unless expressly stated otherwise. The applicable shipping cost is calculated and displayed during checkout before the Customer confirms and pays for the order.<\/p><p>Soulani reserves the right to change product prices and other information displayed in the Online Store. Changes do not affect orders that have already been confirmed.<\/p><p>If a product price has been displayed incorrectly due to an obvious technical or human error and the Customer could reasonably have recognised the price as incorrect, Soulani may cancel the affected order. In such a case, the Customer will be informed and any amount already paid will be refunded.<\/p><p>\u00a0<\/p><ol start=\"3\"><li><strong> Placing an Order<\/strong><\/li><\/ol><p>\u00a0<\/p><p>To place an order, the Customer must:<\/p><ol><li>add the desired product(s) to the shopping cart;<\/li><li>proceed to checkout;<\/li><li>provide the required contact and delivery information;<\/li><li>select an available delivery method;<\/li><li>select an available payment method; and<\/li><li>confirm and pay for the order.<\/li><\/ol><p>Before confirming the order, the Customer can review the products, quantities, prices, delivery information and total cost of the order.<\/p><p>The Customer is responsible for ensuring that the information provided when placing the order is complete and correct.<\/p><p>After the order has been placed successfully, the Customer will receive an order confirmation by e-mail.<\/p><p>The sales contract between Soulani and the Customer becomes binding once the order has been successfully submitted and payment has been received or otherwise confirmed by the payment service provider.<\/p><p>\u00a0<\/p><ol start=\"4\"><li><strong> Payment<\/strong><\/li><\/ol><p>\u00a0<\/p><p>Available payment methods are displayed during checkout and may vary depending on the Customer&#8217;s country and the payment services available at the time of purchase.<\/p><p>Payments may be processed by third-party payment service providers, including <strong>Montonio<\/strong>, and the payment methods offered through them.<\/p><p>Soulani does not receive or store the Customer&#8217;s full online banking or payment card credentials.<\/p><p>The total amount payable, including the price of the products, applicable taxes and shipping charges, is displayed before the Customer confirms the order.<\/p><p>\u00a0<\/p><ol start=\"5\"><li><strong> Shipping and Delivery<\/strong><\/li><\/ol><p>\u00a0<\/p><p>Soulani ships orders from Estonia.<\/p><p>Delivery is currently available to:<\/p><p><strong>Estonia, Latvia, Lithuania, Finland, Sweden.<\/strong><\/p><p>Depending on the destination, orders may be delivered to a parcel locker, pickup point or by courier. Available delivery options are displayed during checkout and may vary depending on the destination.<\/p><p>Shipping services are provided through Montonio and its logistics partners or through delivery service providers contracted by Soulani and integrated with Montonio.<\/p><p>Shipping costs depend on the destination and selected delivery method. The applicable shipping cost is displayed during checkout before the Customer confirms the order.<\/p><p><strong>Order Processing and Delivery Time<\/strong><\/p><p>Unless otherwise agreed with the Customer, Soulani will fulfil the order no later than <strong>30 business days from the conclusion of the sales contract<\/strong>.<\/p><p>Once the order has been dispatched and handed over to the delivery service provider, the following estimated delivery times generally apply:<\/p><ul><li><strong>Estonia, Latvia and Lithuania:<\/strong> approximately 1\u20132 business days<\/li><li><strong>Finland and Sweden:<\/strong> delivery time depends on the selected delivery method and carrier and will be indicated where applicable during checkout or in the order information.<\/li><\/ul><p>These delivery times are estimates and begin from the time the parcel has been handed over to the delivery service provider. They do not include the time required by Soulani to process and prepare the order for dispatch.<\/p><p>Delivery times may be affected by weekends, public holidays, peak periods, weather conditions, carrier delays or other circumstances outside Soulani&#8217;s reasonable control.<\/p><p>If Soulani becomes aware that an order cannot be fulfilled within the agreed delivery period, the Customer will be informed as soon as reasonably possible.<\/p><p>\u00a0<\/p><ol start=\"6\"><li><strong> Availability of Products<\/strong><\/li><\/ol><p>\u00a0<\/p><p>All orders are subject to product availability.<\/p><p>If an ordered product becomes unavailable after an order has been placed, Soulani will notify the Customer as soon as reasonably possible.<\/p><p>The Customer will be offered either an appropriate alternative, where agreed with the Customer, or a full refund for the unavailable product.<\/p><p>If the entire order cannot be fulfilled and the Customer does not accept an alternative, all payments received for the unavailable goods, including applicable delivery costs where appropriate, will be refunded.<\/p><p>\u00a0<\/p><ol start=\"7\"><li><strong> Receiving Your Order<\/strong><\/li><\/ol><p>\u00a0<\/p><p>The Customer should inspect the parcel upon receipt.<\/p><p>If the parcel is visibly damaged during transportation, we recommend documenting the damage with photographs and notifying Soulani as soon as possible at <a href=\"mailto:info@soulani.com\"><strong>info@soulani.com<\/strong><\/a>.<\/p><p>Accepting a parcel with damaged packaging does not remove or limit the Customer&#8217;s statutory rights relating to defective or non-conforming goods.<\/p><p>If the Customer has provided incorrect or incomplete delivery information and the parcel cannot therefore be delivered, any reasonable additional costs associated with re-delivery may be charged to the Customer.<\/p><p>\u00a0<\/p><ol start=\"8\"><li><strong> Right of Withdrawal<\/strong><\/li><\/ol><p>\u00a0<\/p><p>Consumers have the right to withdraw from an online purchase within <strong>14 days<\/strong> without giving a reason.<\/p><p>The 14-day withdrawal period begins on the day the Customer, or a third party designated by the Customer other than the carrier, receives the goods.<\/p><p>To exercise the right of withdrawal, the Customer must inform Soulani of the decision to withdraw from the contract within the 14-day period by sending a clear statement to:<\/p><p><a href=\"mailto:info@soulani.com\"><strong>info@soulani.com<\/strong><\/a><\/p><p>The Customer may include their name, order number and the product(s) being returned to help us process the return.<\/p><p>After notifying Soulani of the withdrawal, the Customer must return the goods without undue delay and no later than 14 days after communicating the decision to withdraw.<\/p><p>The statutory right of withdrawal applies to consumers and does not apply to purchases made by legal entities acting in the course of their business or professional activities.<\/p><p>\u00a0<\/p><ol start=\"9\"><li><strong> Condition of Returned Products<\/strong><\/li><\/ol><p>\u00a0<\/p><p>The Customer may inspect and handle a product only to the extent necessary to establish its nature, characteristics and functioning, in the same way as they would normally be permitted to inspect the product in a physical store.<\/p><p>Returned products should be clean and, where reasonably possible, returned with their original packaging, labels and accessories.<\/p><p>The absence of the original packaging does not automatically remove the Customer&#8217;s statutory right of withdrawal.<\/p><p>However, if the product has been used or handled beyond what is necessary to establish its nature, characteristics and functioning, Soulani may reduce the amount refunded to reflect any resulting decrease in the value of the product.<\/p><p>\u00a0<\/p><ol start=\"10\"><li><strong> Return Shipping Costs<\/strong><\/li><\/ol><p>\u00a0<\/p><p>If the Customer withdraws from the purchase because they have changed their mind, selected the wrong size or otherwise no longer wish to keep the product, the <strong>direct cost of returning the goods is borne by the Customer<\/strong>, unless Soulani has expressly offered free returns.<\/p><p>If the product delivered is defective, damaged, incorrect or otherwise does not conform to the sales contract, Soulani will bear the reasonable costs of returning the product.<\/p><p>Instructions for returning a product will be provided after the Customer contacts <a href=\"mailto:info@soulani.com\"><strong>info@soulani.com<\/strong><\/a>.<\/p><p>\u00a0<\/p><ol start=\"11\"><li><strong> Refunds<\/strong><\/li><\/ol><p>\u00a0<\/p><p>If the Customer validly withdraws from the contract, Soulani will refund all payments received from the Customer for the returned goods, including the cost of the least expensive standard delivery method offered by Soulani for the original order.<\/p><p>If the Customer selected a more expensive delivery method than the least expensive standard delivery option available, Soulani is not required to refund the additional delivery cost.<\/p><p>Refunds will be made without undue delay and no later than 14 days after Soulani has been informed of the Customer&#8217;s decision to withdraw.<\/p><p>Soulani may withhold the refund until the returned goods have been received or until the Customer provides evidence that the goods have been sent back, whichever occurs first.<\/p><p>Unless otherwise agreed, the refund will be made using the same payment method used for the original transaction.<\/p><p>\u00a0<\/p><ol start=\"12\"><li><strong> Exchanges<\/strong><\/li><\/ol><p>\u00a0<\/p><p>If the Customer wishes to exchange a product for another size, colour or product, they should contact <a href=\"mailto:info@soulani.com\"><strong>info@soulani.com<\/strong><\/a> within 14 days of receiving the order.<\/p><p>Exchanges are subject to product availability.<\/p><p>Soulani may process an exchange as a return of the original product and a new order for the replacement product.<\/p><p>Any applicable shipping costs will be communicated to the Customer before the exchange is completed.<\/p><p>Nothing in this section limits the Customer&#8217;s statutory rights relating to defective or non-conforming goods.<\/p><p>\u00a0<\/p><ol start=\"13\"><li><strong> Defective or Non-Conforming Products<\/strong><\/li><\/ol><p>\u00a0<\/p><p>Soulani is responsible for goods that do not conform to the sales contract in accordance with applicable law.<\/p><p>Consumers are entitled to a statutory legal guarantee of conformity for at least <strong>two years from the delivery of the goods<\/strong>.<\/p><p>If a product is defective or does not correspond to what was ordered, the Customer should contact Soulani at <a href=\"mailto:info@soulani.com\"><strong>info@soulani.com<\/strong><\/a> and provide:<\/p><ul><li>their name and order number;<\/li><li>a description of the issue; and<\/li><li>photographs of the product where this is reasonably possible and relevant.<\/li><\/ul><p>Depending on the circumstances and applicable law, the Customer may be entitled to have the product repaired or replaced free of charge.<\/p><p>Where repair or replacement is impossible, disproportionate, has not been completed within a reasonable period, or would cause significant inconvenience to the Customer, the Customer may be entitled to an appropriate price reduction or to terminate the sales contract and receive a refund, as provided by applicable law.<\/p><p>Soulani is not responsible for defects resulting from improper use, failure to follow care instructions, accidental damage, normal wear and tear or other circumstances attributable to the Customer after delivery.<\/p><p>\u00a0<\/p><ol start=\"14\"><li><strong> Complaints<\/strong><\/li><\/ol><p>\u00a0<\/p><p>Complaints concerning products or orders may be submitted to:<\/p><p><strong>Soulani O\u00dc<\/strong><br \/>E-mail: <a href=\"mailto:info@soulani.com\"><strong>info@soulani.com<\/strong><\/a><\/p><p>Soulani will respond to consumer complaints in writing or in a form that can be reproduced in writing within <strong>15 days<\/strong> of receiving the complaint.<\/p><p>If it is not possible to resolve the complaint within this period, Soulani will inform the Customer of the reason for the delay and the expected time required to resolve the matter.<\/p><p>\u00a0<\/p><ol start=\"15\"><li><strong> Liability<\/strong><\/li><\/ol><p>\u00a0<\/p><p>Soulani is liable for its obligations under the sales contract in accordance with applicable law.<\/p><p>Soulani is not responsible for delays or failure to perform an obligation where this results from circumstances outside Soulani&#8217;s reasonable control, provided that this does not limit any mandatory rights available to the Customer under applicable consumer protection law.<\/p><p>Nothing in these Terms &amp; Conditions excludes or limits liability where such exclusion or limitation is prohibited by law.<\/p><p>\u00a0<\/p><ol start=\"16\"><li><strong> Personal Data<\/strong><\/li><\/ol><p>\u00a0<\/p><p>Soulani processes personal data in accordance with applicable data protection legislation, including the General Data Protection Regulation (GDPR).<\/p><p>Personal data provided by the Customer is processed for purposes including processing orders, arranging delivery, handling payments, providing customer service and fulfilling legal obligations.<\/p><p>Where necessary for fulfilling an order, relevant personal data may be shared with payment providers, logistics providers, delivery companies and other service providers involved in processing the order.<\/p><p>More detailed information about the processing of personal data is available in Soulani&#8217;s <strong>Privacy Policy<\/strong>.<\/p><p>\u00a0<\/p><ol start=\"17\"><li><strong> Governing Law<\/strong><\/li><\/ol><p>\u00a0<\/p><p>These Terms &amp; Conditions and sales contracts concluded through the Online Store are governed by the laws of the Republic of Estonia.<\/p><p>If the Customer is a consumer residing in another country, this choice of law does not deprive the Customer of any mandatory consumer protection rights that apply under the laws of their country of residence.<\/p><p>\u00a0<\/p><ol start=\"18\"><li><strong> Dispute Resolution<\/strong><\/li><\/ol><p>\u00a0<\/p><p>If the Customer has a complaint, we encourage them to contact Soulani first at <a href=\"mailto:info@soulani.com\"><strong>info@soulani.com<\/strong><\/a> so that the matter can be resolved directly.<\/p><p>If Soulani and a consumer cannot resolve a dispute by agreement, a consumer may contact the <strong>Consumer Disputes Committee (Tarbijavaidluste komisjon)<\/strong> operating at the Estonian Consumer Protection and Technical Regulatory Authority.<\/p><p>Proceedings before the Consumer Disputes Committee are free of charge for consumers.<\/p><p>Consumers residing in another EU\/EEA country may also seek assistance from the relevant consumer protection or alternative dispute resolution body in their country, where applicable.<\/p><p>The European Commission&#8217;s former Online Dispute Resolution (ODR) platform was discontinued on 20 July 2025 and is therefore no longer used for submitting consumer disputes.<\/p><p>\u00a0<\/p><ol start=\"19\"><li><strong> Changes to These Terms<\/strong><\/li><\/ol><p>\u00a0<\/p><p>Soulani may amend these Terms &amp; Conditions when necessary, for example due to changes in legislation, delivery services, payment methods or the operation of the Online Store.<\/p><p>The Terms &amp; Conditions applicable to an order
